Mutual Non-Disclosure Agreement
Effective Date: July 12, 2025
This Mutual Non-Disclosure Agreement (“Agreement”) is entered into by and between Cableteque Corp., a California corporation with a principal place of business at 5405 Production Dr., Huntington Beach, CA 92649 (“Cableteque”), and any entity (“Customer”) that executes a quote, order form, or other agreement which references this NDA. Cableteque and Customer are referred to individually as a “Party” and collectively as the “Parties.”
1. Purpose
The Parties wish to explore or engage in business activities related to wire harness design, validation, manufacturing, and/or engineering (the “Authorized Purpose”). In connection with this Purpose, each Party may disclose (“Disclosing Party”) to the other Party (“Receiving Party”) certain Confidential Information (as defined below).
2. Confidential Information
“Confidential Information” means any non-public, proprietary, or sensitive information disclosed by a Party that is designated as confidential or should reasonably be understood to be confidential under the circumstances.
Examples include but are not limited to:
Cableteque’s Confidential Information: Software, data, intellectual property, algorithms, specifications, libraries, product plans, pricing, and business strategies.
Customer’s Confidential Information: Technical drawings, customer files, bills of materials, part data, and internal engineering documentation.
Confidential Information will not include information that: (a) is or becomes publicly available without breach of this Agreement; (b) is obtained from a third party without breach of an obligation to the Disclosing Party; (c) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt notice to the Disclosing Party and cooperates in any efforts to limit such disclosure.
Discloser warrants that it has the right to disclose the confidential information to Recipient.
3. Use and Access
The Receiving Party agrees to use the Confidential Information solely for the Authorized Purpose and to restrict disclosure of the Confidential Information to its Representatives who need to know such information for the Authorized Purpose and who are bound by confidentiality obligations no less restrictive than those contained herein.
4. Return or Destruction
Upon request or termination of the business relationship, each Party agrees to return or destroy all Confidential Information and, if requested, certify such destruction in writing.
5. No License
This Agreement and the furnishing of Confidential Information neither grants nor conveys any license or ownership interest under any patents or any other property right nor establish any obligation to enter into a contract, subcontract, or other business relationship with the other Party. The Disclosing Party will not be liable for damages arising from the Receiving Party’s use of or reliance on information disclosed under this Agreement, and the Disclosing Party makes no representation or warranty regarding the accuracy or completeness of the Confidential Information.
6. Term
This Agreement shall remain in effect for five (5) years from the date the Customer executes a Quote, Order Form, or Agreement that references this NDA, unless extended by mutual written agreement of the Parties.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. The Parties agree to submit to the jurisdiction of the courts located in California.
8. Entire Agreement
This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements and understandings with respect thereto. Any amendments or modifications must be in writing and signed by both Parties.
9. Acceptance
By signing a Cableteque Quote, Order Form, or other agreement that references this NDA, the Customer acknowledges and agrees to the terms of this Mutual Non-Disclosure Agreement.
